This Space Provider Terms & Conditions ("Agreement") constitutes a legally binding agreement between you ("Provider," "you," "your") and HiMeet ("HiMeet," "we," "us," "our"). This Agreement governs your provision of any venue, room, or space for hire ("Space") on the HiMeet platform ("Platform").
By creating a Listing and using the HiMeet Platform as a Provider, you agree to comply with and be bound by this Agreement.
1. Your Core Responsibilities
As a Provider, you are responsible for the quality, safety, and accuracy of your Listings. By accepting this Agreement, you promise and warrant that:
1.1. Listing Accuracy: All information in your Listing is truthful, accurate, and not misleading. This includes photographs, descriptions of amenities, capacity limits, accessibility, rules, and pricing. The Space provided must materially match the description.
1.2. Availability: Your calendar is kept up-to-date. You will not offer or accept bookings for times when the Space is unavailable.
1.3. Legal Compliance: You hold the full legal authority to offer the Space for hire and comply with all applicable UK laws, including health and safety regulations, fire codes, and local council ordinances.
1.4. Professional Conduct: You will conduct yourself professionally and will not discriminate against any event organiser ("Organiser") or their guests.
1.5. Condition of Space: The Space will be clean, safe, and ready for use by the Organiser at the start of their booking period.
2. Bookings, Payments, and Fees
2.1. Booking Process: You are in full control of your Listing. You will receive booking requests via the Platform and have the discretion to accept or decline them. Once you accept a request, you enter into a direct, legally binding contract with the Organiser.
2.2. Payment Collection and Hold: Upon a booking confirmation, HiMeet will collect the total event fee from the Organiser on your behalf. HiMeet will hold these funds securely until the event has concluded.
2.3. Payout Release: The total booking fee, minus the HiMeet Service Fee, will be released to your designated account within 48 hours after the scheduled finish time of the event. This payout is conditional on the event proceeding without any major issues or formal disputes being raised by either party.
2.4. HiMeet Service Fee: In exchange for the use of the Platform, HiMeet charges a service fee of [e.g., 10%] of the total booking amount. This fee is automatically deducted from your payout.
3. Disputes, Cancellations, and Payout Adjustments
3.1. Dispute Resolution: If a significant issue arises (e.g., the Space is not as described, access is denied), either the Organiser or the Provider must report the problem to HiMeet within 24 hours of the event's conclusion. Upon receiving a formal complaint, HiMeet will temporarily hold the payout and step in to investigate the matter as a neutral intermediary.
3.2. Evidence Requirement: To ensure a fair resolution, you must be prepared to provide evidence to support your position in a dispute. This may include photographs, videos, or written communication.
3.3. Payout Adjustments: Based on our investigation, HiMeet will make a determination in its sole but reasonable discretion. In situations where a valid complaint is upheld, your final payout may be partially or fully reduced to provide a fair refund to the Organiser.
3.4. Cancellations: Cancellation policies are detailed in our separate "Cancellation Policy". Penalties may apply to Providers who cancel confirmed bookings, as this significantly impacts the Organiser and the trustworthiness of the Platform.
4. Liability, Safety, and Insurance
4.1. HiMeet's Role as a Platform: You acknowledge that HiMeet is an intermediary platform that connects Providers with Organisers. HiMeet does not own, control, inspect, or operate any Space. We are not a party to the rental contract between you and the Organiser.
4.2. Provider's Sole Responsibility for Safety: You are solely responsible for the safety, security, and condition of your Space and for ensuring it is compliant with all relevant UK laws.
4.3. Insurance: We strongly recommend you maintain appropriate and comprehensive insurance for your business, including Public Liability Insurance, to cover any potential claims for personal injury or property damage that may occur at your Space.
4.4. Damage to Space: You are responsible for any damages to your Space caused by an Organiser or their guests. You should resolve any damage claims directly with the Organiser. HiMeet may facilitate this communication but is not responsible for any damages.
4.5. Indemnification: You agree to release, defend, indemnify, and hold HiMeet harmless from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with your use of the Platform, your provision of the Space, or your breach of these Terms.
5. Termination
You may terminate this Agreement at any time by deactivating your Listing. HiMeet reserves the right to suspend or terminate your account if you materially breach this Agreement, provide false information, or engage in conduct harmful to our community.
6. Governing Law
This Agreement is governed by the laws of England and Wales, and the parties agree to the exclusive jurisdiction of the courts of England and Wales.
