HIMEET LIMITED Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Himeet Mini Program on WeChat (the “Platform”), operated by Himeet Limited (“Himeet,” “we,” “us,” or “our”). By accessing or using the Platform, you agree to these Terms, including any documents incorporated herein by reference (e.g., our Privacy Policy and Community Guidelines). If you do not agree, do not use the Platform.

1.1 Definitions
For these Terms, the following definitions apply:
Affiliate: Any entity that controls, is controlled by, or is under common control with Himeet, whether by ownership, contract, or otherwise, including successors and assigns.
Event: Any gathering, meeting, class, workshop, or other activity created, managed, or advertised on the Platform.
Venue: The physical or virtual location where an Event is held.
Organiser: A User who creates, publishes, or manages an Event on the Platform.
Consumer: A User who browses, RSVPs to, or attends an Event.
Services: The Platform itself, including all mini‑program functionality, features, APIs, tools, and related offerings provided by Himeet.
Site Content: All information and content available through the Services, including Event listings, descriptions, images, videos, text, graphics, and user‑generated content.
Your Content: Any content, data, materials, or communications that you upload, submit, post, display, or otherwise make available on the Platform.
Your Trademarks: Any trademarks, service marks, logos, or other branding that you provide or authorise Himeet to use.
Flagged User: A User account that has been identified by Himeet’s automated algorithms or manual reporting as potentially engaging in fraud, abuse, or other suspicious activity.
Featured Event/Merchant: An Event or Merchant that Himeet has selected for commercial partnership promotion and that is labeled on the Platform as “精选活动” or “精选商家” to indicate a sponsored or collaborative relationship.
Beta Features: New or experimental features, functions, or content that Himeet may offer on a trial basis for testing and feedback purposes.
WeChat Ecosystem: The WeChat platform and associated services, including user identities, profile information, and mini‑program interfaces.
Data Protection Laws: Applicable laws governing data privacy and protection, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
Released Parties: Collectively, Himeet and its Affiliates, and each of their respective officers, directors, employees, agents, successors, assigns, and representatives.
1.2 Who’s Who
Contracting Entity: All Users located in the UK are contracting with Himeet Limited, a company registered in England and Wales (Company No. 16569034).
International Users: Users located outside the UK also contract with Himeet Limited unless we notify you of a different affiliate.
Event Relationships: Himeet acts solely as a platform provider and is not the organiser, host, or venue operator for any Event. The Organiser is solely responsible for each Event’s execution, content, and compliance with applicable laws and venue requirements.
Featured Merchant Partnerships: In certain cases, Himeet collaborates with select Merchants—particularly venue providers—under the label “精选商家” (Featured Merchants) to promote their locations to Organisers and Consumers. Such partnerships are limited to promotional and listing arrangements; Himeet does not engage in event planning, content creation, or management of Events at those venues. The Organiser retains full responsibility for event type, format, and operational execution at any Featured Merchant venue.
1.3 Other Applicable Terms
Your use of the Platform is also subject to the following terms, each of which is hereby incorporated by reference into these Terms:
Privacy Policy: Governs the collection, use, and disclosure of personal data.
Community Guidelines: Sets forth rules regarding acceptable conduct and content.
Cookie Statement: Details our use of cookies and similar tracking technologies.
Organiser Terms: Additional requirements for Organisers, such as Event listing standards, refund policies, and third‑party integrations.
WeChat Developer Terms: The terms and guidelines imposed by Tencent for WeChat mini‑program developers.
Merchant Onboarding Notice
1.4 Your Authority
If you are using the Services on behalf of an organisation or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms. In such cases, the terms "you" or "your" include both you and the organisation on whose behalf you act.
2.1 What We Provide
Himeet delivers a comprehensive mini‑program on Wechat or event discovery and RSVP, including:
Search & Discovery: Keyword and category-based search; location-based suggestions; personalized recommendations based on your interests and past activity.
Event Listings: Detailed pages with descriptions, schedules, speaker/host bios, multimedia galleries, and real-time attendee counts.
Interactive Map & Calendar Views: Map pins for nearby Events and calendar integration so Consumers can add RSVPs to personal calendars.
RSVP & Waitlists: One‑click RSVP, automated waitlist management, and push‑notification reminders.
2.2 No Transaction Processing
All financial transactions are conducted off-platform.
Payment Arrangements: Consumers must contact Organisers to arrange payment by bank transfer, digital wallet, or in-person at the Venue.
Liability Disclaimer: Himeet is neither agent nor escrow for any payments; we do not hold funds or process refunds. Organisers set and enforce their own payment and refund policies.
2.3 Flagging Algorithm
Himeet employs both automated algorithms and manual reviews to identify and mitigate fraud, abuse, and other suspicious activity, ensuring a safe and trustworthy environment for all Users:
Detection Criteria: Flags may be raised for patterns such as unusual login locations or frequencies, repeated event cancellations, high no-show rates, multiple complaints from attendees, or registration via disposable or unverified contact information.
Account Review: When flagged, a User will receive an in-app notification explaining the reason for review. The User may be asked to verify identity or provide supplemental documentation (e.g., government ID, proof of address).
Actions & Enforcement: Following review, Himeet may, in its sole discretion, issue warnings, restrict access to certain features (e.g., event creation, messaging), impose temporary suspensions, or permanently ban the account and associated devices.
Appeals & Final Determination: Flagged Users may submit an appeal within 14 days by contacting support and providing relevant evidence. While Himeet will consider submitted materials, Himeet expressly reserves the right to make the final determination regarding any enforcement action. All decisions on account status, restrictions, or bans are at Himeet’s sole and absolute discretion and are final.
2.4 Organiser Responsibilities
Organisers are critical to the success and safety of each Event. You must ensure the following at all times:
Compliance & Permits: Obtain and maintain all necessary licences, permits, approvals, and contracts for the Event and Venue, including:
Local authority permits (e.g., public gathering, noise, alcohol service).
Venue rental or partnership agreements outlining rights and responsibilities.
Insurance coverage, such as public-liability and event cancellation insurance.
Event Logistics & Safety: Plan and execute Events with clear attention to attendee well‑being:
Accurate Event Descriptions: Publish full details including date, time, location, agenda, speakers, and any fees. Update descriptions promptly if changes occur.
Capacity Management: Confirm venue capacity limits, manage RSVPs to avoid overbooking, and have an approved plan for crowd control.
Safety Protocols: Implement venue safety measures (e.g., fire exits, first‑aid kits, emergency contacts) and adhere to local health guidelines (e.g., COVID‑19 precautions).
Accessibility & Inclusion: Provide reasonable accommodations (ramps, seating, sign-language interpretation) and clearly state accessibility features in Event listings.
Equipment & Vendors: Verify third‑party vendors (caterers, audio/visual) hold required licences and insurance, and coordinate setup/tear‑down safely.
Attendee Communication: Maintain open, timely, and transparent communication:
Pre‑Event Notifications: Send reminders, directions, parking and transit tips via WeChat subscription messages or email at least 48 hours and 2 hours before the Event.
On‑Site Announcements: Provide clear signage and on-site staff or volunteers to assist attendees.
Change & Cancellation Policy: Publicly post your refund, rescheduling, and cancellation policy at registration and notify all RSVPed attendees immediately if any change occurs.
Emergency Alerts: Have a defined channel (WeChat group or SMS) for urgent updates (e.g., weather closure, security issues).
Event Execution & Post‑Event: Deliver a high‑quality, compliant experience:
Check‑In Procedures: Use in‑app attendee lists; verify identities manually if needed; keep backup lists.
Content & Conduct Oversight: Ensure speakers and staff adhere to Community Guidelines; actively monitor for harassment, policy violations, or inappropriate materials.
Content Compliance & Screening: Do not upload, display, or distribute any images or text that may be illegal, defamatory, extremist, or otherwise suspicious. All uploaded media must comply with local laws, venue policies, and WeChat’s developer and content rules. Himeet may employ automated or manual screening to detect prohibited content, and Organisers must promptly remove or correct any flagged materials.
Data Protection: Handle attendee data securely, using it only for Event‑related communications and in compliance with data-protection laws.
Post‑Event Follow-Up: Share thank-you messages, distribute surveys, and process any refunds or issue reports within your stated timeframes.
Failure to uphold these responsibilities may result in Event removal, suspension of Organiser privileges, or other enforcement actions by Himeet.**
Consumers agree to:
Code of Conduct: Respect Organisers, venues, and fellow attendees; avoid harassment or disruptive behaviour.
Information Accuracy: Provide truthful RSVP details and update contact information if changed.
Risk Awareness: Review event safety guidelines and health requirements prior to attendance.
Feedback & Ratings: Submit honest post‑event reviews to help future Consumers and Organisers.
Issue Reporting: While Consumers do not scan QR codes for check‑in, they have access to an in‑app reporting channel to flag event-related problems such as safety concerns, misleading descriptions, or inappropriate conduct. Reports can be submitted directly from the Event page by selecting “Report an Issue,” and Himeet will investigate and follow up as needed.
2.6 Featured Events and Merchant Partnerships
Himeet may collaborate with select Merchants or Organisers to feature certain Events or listings as “精选活动” (Featured Events) or “精选商家” (Featured Merchants). Such designations indicate a commercial partnership or sponsorship arrangement.
Visibility: Featured Events/Merchants receive prominent placement and promotional highlighting within the Platform.
Labeling: All Featured Merchants will have a “精选商家” badge displayed next to their name and on their listing cards to clearly denote the partnership.
Disclosure: Himeet will clearly label any Event or Merchant as featured to ensure transparency for Consumers.
Responsibility: Despite the featured badge, Himeet acts solely as a promoter and does not assume responsibility for the quality, safety, or execution of any Featured Event.
Fees: Organisers or Merchants may pay a promotional fee or provide other consideration to Himeet for featured placement; all such terms are agreed separately and do not affect the standard platform Terms.
2.7 WeChat Ecosystem Integration
We integrate deeply with WeChat’s mini-program framework while adhering to its data-sharing and privacy requirements:
Account Login: One‑tap authentication via WeChat ID; no separate password required.
Social Sharing: Easy sharing of Event pages to WeChat Moments, official accounts, or group chats.
Mini‑Program Features: Use of WeChat’s location API for proximity search and WeChat subscription messages for event updates.
WeChat Privacy Compliance: Himeet will comply with WeChat’s developer policies, including user consent prompts for any personal data access. WeChat may require us to provide clear in-app disclosures and obtain explicit permissions for camera, microphone, or photo album access.
Future Third‑Party API Integrations: To enhance user safety and functionality, Himeet reserves the right to integrate additional third‑party APIs (e.g., content moderation services, AI-based threat detection, enhanced mapping or transit services). Any such integrations will be subject to user consent, and details will be provided in an updated Privacy Policy.
Avatar & Photo Content Screening: With user consent, Himeet may employ third‑party content inspection tools to scan user-uploaded avatars or event photos for inappropriate or suspicious content (e.g., nudity, extremist symbols) and take action according to our Community Guidelines.
2.8 Support & Feedback
Himeet is committed to providing responsive assistance and incorporating your feedback to improve the Platform:
Help Center & Knowledge Base:
Accessible within the mini-program under “Help & Support.”
Includes categorized FAQs (e.g., account setup, event creation, troubleshooting), step-by-step written guides, and short video tutorials.
Search functionality to quickly locate relevant articles.
Issue Reporting Channels:
In-App Reports: On any page (Event listing, Organiser dashboard, profile), tap the “...“ menu and select “Report an Issue” to submit details.
Issue Categories & Triage:
Technical Problems: App errors, crashes, or failed notifications.
Content Concerns: Inaccurate descriptions, inappropriate or misleading content, or policy violations.
Safety & Security: Harassment, fraud, or suspicious activity at events.
Feature Requests & Feedback:
Submit suggestions via the “Feedback” link in settings.
Himeet reviews and may incorporate high-demand requests into future updates; users may be contacted for beta testing.
2.9 Third‑Party Integrations
To expand functionality while protecting your privacy, Himeet may integrate with select third-party services:
External Calendar Sync:
Consumers can link Himeet RSVPs to Google Calendar, Outlook, or iCal.
Calendar integrations require explicit user consent and may prompt OAuth login flows.
Mapping & Transit Services:
Embed map views and directions using providers such as Tencent Maps or Gaode Maps.
Location data for mapping is used on-demand and not stored long-term.
Analytics & Marketing Tools:
Optional integration with analytics platforms (e.g., Mixpanel, Google Analytics) for Organisers wishing to track event performance.
Integration requires Organiser opt‑in; Consumers are notified of any analytics cookies or tracking pixels and may opt out.
Content Moderation & Safety APIs:
With user consent, selected third‑party moderation services may screen uploaded images, video thumbnails, or text for harmful or non-compliant content.
Any flagged content triggers an automated or manual review by Himeet’s moderation team.
All third-party integrations are governed by separate terms and privacy policies. Himeet will not share personal data with third parties except as permitted by you or required by law. Any new integrations will be communicated via updates to our Privacy Policy and in-app notifications. Third‑Party Integrations**
To enhance functionality, Himeet may integrate with:
External Calendars: Google Calendar, Outlook, and iCal feeds.
Analytics & Marketing Tools: Third‑party widgets or pixels to track Event performance (subject to Consumer consent).
Mapping Services: Map providers for driving/public transit directions.
Himeet is committed to protecting your personal data and ensuring transparent handling of your information. This section explains how we collect, use, share, and safeguard data within the Platform and the WeChat ecosystem.
3.1 Privacy Policy
We collect, use, and store personal data in accordance with our Privacy Policy and applicable data‑protection laws (including UK GDPR and the Data Protection Act 2018). This includes data you provide directly (e.g., registration details) and data collected automatically (e.g., usage metrics).
3.2 Consent to Cookies & Tracking
We use cookies, pixels, and analytics tools to improve Platform performance and user experience. Examples include:
Session Cookies: Maintain login and navigation states.
Analytics Pixels: Track page views, feature usage, and conversion metrics.
Performance Cookies: Identify and remedy technical issues.
You may manage or disable cookies and tracking in your WeChat privacy settings, though some features may be degraded.
3.3 Organiser Data Obligations
Organisers collecting Consumer data through the Platform must:
Provide clear, conspicuous privacy notices at the point of data collection.
Obtain all necessary consents for processing personal data (e.g., email, phone number).
Use collected data solely for Event administration (e.g., sending updates, check‑in lists).
Retain data no longer than required for the Event and related legal obligations.
Securely delete or anonymise data once no longer needed, unless retention is mandated by law.
3.4 Location Privacy
Location sharing is entirely optional, and you may choose one of the following settings when prompted by WeChat or within the Platform’s privacy panel:
No Location: Decline all location access; Himeet will base event suggestions on your profile settings, selected region, or manual searches.
Precise Location (GPS‑Level): Share your exact GPS coordinates via WeChat Location Tracking service to access highly accurate nearby Events, navigation, and on‑demand directions.
Use Case & Data Handling:
We use location data solely to power event discovery, map displays, and navigation features.
No location history is stored longer than necessary for the current session; location data is discarded once it is no longer in active use.
Revocation & Change:
You can revoke or modify location permissions at any time via your WeChat privacy settings or later via website, application or any other official site og HiMeet in the Platform’s privacy panel.
If you switch from Precise to Coarse or No Location, existing location‑based recommendations will cease, and you may need to reload or restart the mini‑program for changes to take effect.
Transparency & Control:
At any point, Himeet will display your current location‑sharing status in the Platform’s “Privacy Settings” screen.
Detailed guidance on managing WeChat mini‑program permissions is available via WeChat’s help documentation.
3.5 WeChat Data Privacy & Third‑Party Screening
Operating as a WeChat mini‑program, we access certain WeChat-provided data under Tencent’s developer policies:
Profile Information: We receive your WeChat nickname, avatar, and unique OpenID to authenticate and personalise your experience.
No Access to Contacts or Messages: We do not access your WeChat friend list, chat histories, phonebook, or other sensitive modules.
Media Screening: With your consent, Himeet may scan user-uploaded avatars, event photos, and multimedia content using third‑party moderation APIs (e.g., image-recognition services) to detect illegal, extremist, defamatory, or otherwise prohibited content. Any flagged media will be quarantined pending manual review, and Organisers must rectify non-compliant items within 24 hours.
Address & Contact Data: If you provide address or phone number details for event logistics, we only hold these information in necessary time.
Future API Integrations: Himeet reserves the right to incorporate additional third-party privacy or security services (e.g., phone-number validation, address verification, fraud detection) to enhance safety. All new integrations will be subject to explicit user consent and documented in our Privacy Policy.
Your continued use of the Platform after any updates to these practices indicates your acceptance of the revised data-handling methods.
4.1 Term
These Terms are effective upon your first use of the Platform and remain in effect until terminated.
4.2 Suspension, Review & Termination by Himeet
We may suspend or terminate your access if you breach these Terms, engage in harmful conduct, or as required by law.
In addition, Himeet reserves the right at any time, in its sole discretion and without prior notice, to:
Flag your account for review based on suspicious activity detected by our automated algorithms or manual reports;
Restrict your access to certain features or events while a review is pending;
Manage your account status by imposing conditions, such as additional verification steps;
Delete your account and associated data if we determine a material violation of these Terms or deem the risk to our community unacceptable.
Such actions do not require proof of wrongdoing and may be taken as a precautionary or protective measure for the safety and integrity of the Platform.
4.3 Deleting Your Account
You may delete your account at any time by accessing the "Delete Account" option within the Platform settings. Upon deletion:
Data Retention: We will deactivate your profile immediately but retain certain information (e.g., transaction logs, messages, flagging history) as required to comply with legal obligations, resolve disputes, enforce these Terms, or prevent fraud.
Obligations and Liabilities: Deleting your account does not relieve you of obligations or liabilities that arose prior to deletion, including payment or refund obligations to Organisers or Consumers.
Reactivation: You may request account reactivation within 30 days of deletion by contacting support; after 30 days, your profile and associated data may be permanently deleted and cannot be recovered.
Third‑Party Data: Any data shared with Organisers or third parties (e.g., messages, RSVPs) before deletion remains subject to those Organisers’ own data practices and policies.
4.4 Survival
Even if you delete your account or stop using Himeet, some rights and responsibilities will still apply after termination. This includes:
Responsibilities for things that happened before account deletion (e.g. event-related claims or damages).
Legal disclaimers and your acceptance of risks from past activities.
Limitations on liability for past platform use or event issues.
Ongoing rules for resolving disputes (e.g. arbitration, no class actions).
Himeet’s continued right to use content or trademarks you shared before deletion.
The ability to send or receive legal notices even after your account is closed.
Governing law and jurisdiction still apply to unresolved matters.
Confidentiality obligations and intellectual property rights continue indefinitely.
These terms survive to help resolve any unfinished issues and protect both you and Himeet fairly, even after our service relationship ends.
5.1 Platform Role and No Guarantees
Himeet provides a platform to discover, promote, and manage events, but does not organize or control most events listed. Himeet does not guarantee the quality, accuracy, safety, legality, or success of any event, nor does it endorse any Organiser, venue, or participant. Attendance is at your own discretion and risk.
5.2 User Discretion and Due Diligence
You are solely responsible for evaluating whether an event is appropriate for you. This includes reviewing event details, Organiser profiles, venue policies, and any associated risks. Himeet encourages you to conduct reasonable due diligence before attending or purchasing tickets for any event.
5.3 Event Feedback and Reporting System
To support community safety and quality, Himeet maintains a reporting and feedback system. You may report issues such as inappropriate conduct, safety concerns, event misrepresentation, or violations of platform rules directly through the Platform. Reports are reviewed by Himeet’s moderation team and may result in warnings, suspension, or removal of events, users, or Organisers.
5.4 No Refunds or Guarantees
Unless stated otherwise in an event’s specific refund policy, Himeet is not responsible for refunding tickets or resolving disputes related to event quality or experience. Resolution of such matters is typically the responsibility of the Organiser, though Himeet may intervene at its discretion in cases of verified misconduct or fraud.
5.5 Pattern-Based Enforcement
Repeated reports of misconduct or event issues may result in disciplinary action by Himeet, including but not limited to suspension of Organiser accounts, delisting of events, or permanent bans. Enforcement is based on verified patterns of behavior, not isolated complaints.
6.1 Release
To the fullest extent permitted by law, you hereby forever release and discharge Himeet (and its Affiliates, and each of their respective officers, directors, employees, agents, successors and assigns, the “Released Parties”) from any and all claims, demands, actions, causes of action, liabilities, obligations, losses, damages, costs and expenses (including reasonable legal and accounting fees) of any nature whatsoever, whether known or unknown, foreseen or unforeseen, arising out of or in connection with:
Your access to, use of, or inability to use the Services;
Your attendance at, participation in, or hosting of any event discovered, managed, or advertised via the Platform;
The negligence, acts, or omissions of any Organiser, venue operator, or other third party related to any event;
Your reliance on any Site Content or information provided by other Users;
Any personal injury, property damage, illness, or other harm you may suffer in connection with an event;
Any dispute between you and another User or third party in connection with the Platform or an event.
You acknowledge and agree that this release applies to claims you do not know or suspect to exist at the time you accept these Terms, and that you may hereafter discover facts different from or in addition to those you now know or believe to be true.
6.2 Indemnification
You agree to defend, indemnify, and hold harmless the Released Parties from and against any and all losses, damages, liabilities, costs and expenses (including reasonable attorneys’ and accountants’ fees) arising out of, relating to, or resulting from any third-party claim, suit, or proceeding (each, a “Claim”) that arises from or relates to:
Your breach of these Terms, any Policies incorporated herein, or any representation, warranty, or covenant you make under these Terms;
Your negligence, willful misconduct, or fraud in connection with your use of the Services or participation in any event;
Any content you submit, post, or transmit through the Platform, including infringement or misappropriation of any intellectual property or privacy rights;
Your violation of any applicable law, regulation, or third-party right;
Your use of third-party services or products in connection with the Services or any event;
Any obligations you owe to other Users or third parties, including Organisers or venues, arising from events you attend or host.
6.2.1 Indemnification Procedure
Notice: Himeet will provide you with prompt written notice of any Claim for which it seeks indemnification. Failure to provide prompt notice will only relieve you of indemnification obligations to the extent materially prejudiced.
Control of Defense: You have sole control over the defense and settlement of any Claim, provided that you may not settle any Claim without Himeet’s prior written consent if such settlement imposes any liability on the Released Parties or requires any admission of fault.
Cooperation: You shall cooperate fully with Himeet in the defense of any Claim, including providing reasonable assistance and authority at no cost to Himeet.
These indemnification obligations will survive termination of these Terms.
7.1 No Warranties (AS IS, AS AVAILABLE)
To the fullest extent permitted by law, the Services (including all features, Site Content, and any communications or materials provided through the Platform) are provided on an "as is" and "as available" basis without any warranties of any kind, whether express, implied, statutory, or otherwise. Himeet expressly disclaims all warranties, including, but not limited to:
Merchantability: No warranty that the Services will meet your needs or be merchantable.
Fitness for a Particular Purpose: No warranty the Services are fit for any specific purpose or use.
Accuracy or Reliability: No warranty the information, event listings, or Site Content will be accurate, complete, or reliable.
Non-Infringement: No warranty the Services or events will not infringe any third-party rights.
Availability, Security, or Performance: No warranty the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
7.2 No Control Over Third Parties
Himeet does not control, endorse, or guarantee the actions, omissions, policies, or practices of Organisers, venues, or other third parties. You are solely responsible for any personal or financial arrangements made off-platform (including event fees, refunds, or insurance).
7.3 Assumption of Risks
Attendance at or participation in meetups and events carries inherent risks, including but not limited to:
Physical injury, illness, or medical emergencies;
Property loss, theft, or damage;
Adverse reactions to venue conditions (e.g., loud noise, lighting, allergens);
Transmission of communicable diseases;
Weather-related hazards for outdoor events.
By choosing to attend or host an event, you assume all such risks, known or unknown, and accept full responsibility for any harm, loss, or damage you may suffer.
7.4 Waiver for Himeet-Hosted Events
If Himeet or its Affiliates directly host or organise an event, you agree that Himeet and its Released Parties shall not be liable for any claims, damages, losses, or expenses arising from your participation. You hereby waive, release, and forever discharge any rights to sue or recover compensation from Himeet for bodily injury, property damage, or wrongful death in connection with such events.
7.5 Beta and Experimental Features
Himeet may introduce beta or experimental features ("Beta Features") at its sole discretion. Such features may be unstable or subject to change. Any use of Beta Features is voluntary and at your own risk, and Himeet disclaims all liability arising from their use.
7.6 Flagging System & Ultimate Risk
While Himeet employs an automated flagging algorithm combined with manual review to detect and mitigate suspicious or unsafe Events, Organisers, and Consumers (Section 2.3), these measures cannot guarantee your safety or eliminate all risks. You acknowledge that:
Preventive Measures: The flagging system may restrict or remove accounts, Events, or content deemed suspicious, but it may not catch every potential hazard.
No Guarantee: Himeet does not warrant that flagged or unflagged content is free from risk or compliant with all legal or safety standards.
Assumption of Risk: You remain fully responsible for assessing and accepting any remaining risks associated with attending or hosting an Event, regardless of any protective measures implemented by Himeet.
To the fullest extent permitted by applicable law, Himeet’s liability to you arising out of or related to these Terms and your use of the Platform or any Event shall be subject to the following limits and exceptions:
8.1 Cap on Liability
Himeet’s aggregate liability arising out of or relating to these Terms or the Services shall not exceed the greater of:
£100 GBP, or
The total fees you have paid to Himeet in the three (3) months immediately preceding the event giving rise to the claim.
This cap reflects the parties’ allocation of risk, the nominal cost of providing the free-to-use Platform, and the limited potential for Himeet to control or influence off-platform transactions. the parties’ allocation of risk, the nominal cost of providing the free-to-use Platform, and the limited potential for Himeet to control or influence Off‑Platform transactions.
8.2 No Indirect or Consequential Damages
Except as prohibited by applicable law, in no event shall Himeet, its Affiliates, or any Released Parties be liable for any:
Indirect, incidental, special, punitive, or consequential damages (including lost profits, lost data, lost opportunities, or business interruption), even if Himeet has been advised of the possibility of such damages;
Loss of goodwill or reputational harm;
Any damages arising from events organized by third parties, such as Organisers or venues, to which Himeet merely provides technical or promotional support.
Except for liability described in Section 8.2, in no event shall Himeet, its Affiliates, or any Released Parties be liable for any:
Indirect, incidental, special, punitive, or consequential damages (including lost profits, lost data, lost opportunities, or business interruption), even if Himeet has been advised of the possibility of such damages;
Loss of goodwill or reputational harm;
Any damages arising from events organized by third parties, such as Organisers or venues, to which Himeet merely provides technical or promotional support.
8.3 Reasonableness and Fairness
The parties agree that these limitations are reasonable given the free or low‑cost nature of the Services, the community-driven model of event curation, and the function of the Platform as a connector rather than a direct provider of off‑Platform products or services.
8.4 Remedies
Your sole and exclusive remedy for any dispute with Himeet shall be limited to the remedies expressly set forth in these Terms, including the caps and exclusions in this Section 8 and the dispute-resolution procedures in Section 9.
Nothing in this Section 8 shall affect any other rights or remedies you may have under mandatory provisions of consumer protection laws in your jurisdiction.
PLEASE READ CAREFULLY
Any dispute under these Terms will be resolved by individual arbitration before the London Court of International Arbitration (LCIA) in London, UK, under its rules. You may choose small claims court for disputes under £10,000. Class or representative actions are waived.
9.1 Informal Resolution
Before initiating arbitration, you must first contact Himeet support through the mini-program’s Help & Support section. If the dispute remains unresolved 60 days after your notice, you may proceed to arbitration.
9.2 Opt-Out
You have the right to opt out of binding arbitration by contacting Himeet support via the mini-program’s Help & Support section within 30 days of your first use of the Services. Include the subject line “ARBITRATION OPT-OUT” and a clear statement of your decision. If you opt out, this Section 9 will not apply to you.
10.1 Grant of License
We grant you a limited, non-exclusive, revocable license to use the Platform to list/manage Events or browse/RSVP.
10.2 Restrictions
You may not reverse-engineer, decompile, scrape, or misuse the Platform or Site Content for commercial purposes.
10.3 Ownership
All intellectual-property rights in the Platform and Site Content are owned by Himeet or its licensors.
10.4 Professional Certifications Requirement
Organisers offering professional services or activities that legally require specific qualifications (e.g., diving instruction, fitness training, childcare supervision) must hold and maintain valid certifications or licences as mandated by local regulatory bodies. Since the Platform cannot automatically verify such credentials, Organisers must:
Display Certifications: Prominently upload or link to scanned copies of relevant certificates, licences, or accreditation documents on the Event listing.
Verification on Request: Produce original or certified copies of certificates upon request by Consumers or Himeet staff at any time before or during the Event.
Responsibility: Ensure that any instructors, trainers, or professionals engaged for the Event also possess appropriate credentials and that proof of such credentials is available on-site.
Failure to provide and maintain valid certifications for professional Events may result in removal of the Event, suspension of Organiser privileges, or other enforcement actions by Himeet.
10.5 Licenses, Permits & Insurance
In addition to professional certifications, Organisers must obtain and maintain all required licences, permits, and insurance for their Events (e.g., public-gathering permits, noise permits, alcohol licences, venue contracts, public-liability and event cancellation insurance). Organisers warrant that they hold all such documents prior to listing an Event and will provide proof upon request.
If you believe your copyrighted material has been infringed, you may submit a copyright takedown request directly through the mini-program:
Open Help & Support: Tap the “Help & Support” icon in the Platform menu.
Select "Report an Issue": Choose the “Report an Issue” option.
Choose "Copyright Takedown": From the list of issue types, select “Copyright Takedown.”
Provide Details: Include the following information:
Your name, email, and WeChat ID.
Identification of the copyrighted work (e.g., title, description, registration details).
URL or event listing link where the infringing content appears.
A statement under penalty of perjury that you are the copyright owner or authorised agent.
Submit: Tap “Submit.” Himeet will acknowledge receipt and investigate within 14 days.
Alternatively, you may contact Himeet support via WeChat message to our official account and request a Copyright Takedown, providing the same details.
Any automated data extraction or bulk-download of Platform data is strictly prohibited.
13.1 No Platform Fees
Himeet does not charge any fees for listing Events, RSVPing, or attending Events. All monetary amounts paid by Consumers (e.g., ticket prices, service fees, or other charges) are set, collected, and managed by Organisers off-platform.
13.2 Organiser-Set Fees
Organisers set and collect all fees off-platform and are responsible for communicating them clearly. Possible fee structures include:
Ticket or Access Fees: Fixed or tiered pricing for admission.
Service or Convenience Fees: Charges for administrative or handling costs.
Facility or Venue Fees: Additional venue-related surcharges.
Taxes & Regulatory Fees: Applicable VAT, sales tax, or other government-imposed charges.
Organisers must display a complete breakdown of fees on the Event listing, specifying what each fee covers and whether any fees are refundable.
13.3 Payment & Collection
Payment Methods: Organisers and Consumers must agree on payment methods (e.g., bank transfer, WeChat Pay, Alipay, cash and another accepted payment agreed with both side) before booking confirmation.
Payment Instructions: Provide clear, step-by-step instructions for submitting payment, deadlines, and any required references or receipts.
Recordkeeping: Organisers should retain proof of all transactions (e.g., payment receipts, digital confirmation) for at least six months in case any conflict arises.
13.4 Refunds & Cancellations
Organiser Policy: Organisers must publish their refund, rescheduling, and cancellation terms on the Event page.
Consumer Requests: Consumers seeking refunds should contact the Organiser directly using the contact method specified in the Event listing.
Organiser Obligations: Organisers must process refunds within 14 days of approval and notify Consumers of refund status via WeChat subscription message or email.
Event Cancellation by Organiser: If an Event is cancelled, Organisers are responsible for issuing full refunds and communicating the cancellation to all RSVPed Consumers immediately.
13.5 Dispute Resolution
Consumers and Organisers should first attempt to resolve payment or refund issues directly between themselves.
Unresolved disputes can be reported via the Platform’s “Report an Issue” feature under “Payment & Refund Dispute.” Himeet may facilitate communication but does not adjudicate or enforce off-platform financial obligations.
Repeated failure by an Organiser to honor published refund policies may result in warnings, listing removal, or suspension of Organiser privileges by Himeet.
14.1 Account Setup & Security
Users may register and authenticate in one of two ways to access the Platform:
WeChat Authorisation: One-tap sign-in using your WeChat credentials, granting Himeet consent to access your basic profile information (e.g., nickname, avatar, unique OpenID) without requiring a separate password.
Manual Registration: Provide accurate, current, and complete Registration Data (name, email address, and phone number) when prompted.
In either case, you must ensure:
Data Accuracy: Your provided or authorized data is accurate and up-to-date.
Credential Security: Maintain the confidentiality of any account credentials or tokens.
Unauthorised Access: Notify Himeet promptly if you suspect unauthorized access, compromise of your WeChat account, or any credential misuse.
14.2 Age Requirement
The Platform is not intended for children. You must be at least 18 years old to register and use Himeet.
14.3 Sub-Accounts & Permissions
If you grant third parties (e.g., staff, co-organisers) access to your account or create sub-accounts, you remain fully responsible for all activities and compliance under your account.
15.1 Licence Grant
By posting or uploading Your Content (text, images, video), you grant Himeet a non-exclusive, worldwide, royalty-free licence to use, reproduce, adapt, and display that Content to provide and promote the Services.
15.2 Ownership
You retain ownership of Your Content and Your Trademarks. Nothing in these Terms transfers ownership to Himeet.
15.3 Content Standards & Enforcement
Content must comply with these Terms, Community Guidelines, local law, and WeChat’s policies. Himeet may remove or disable access to Content that violates these rules, and Organisers must rectify or remove non-compliant materials upon request.
Notices from Himeet to you may be sent via in-app messages, email, or posted on the Platform. Notices from you to Himeet must be submitted through the mini-program’s Help & Support feature under “Contact Us.”
Himeet may revise these Terms at any time. Material changes will take effect 30 days after posting on the Platform. Continued use after changes constitutes acceptance.
Himeet may assign its rights and obligations under these Terms to an Affiliate or in connection with a corporate transaction. You may not assign your rights without Himeet’s prior written consent.
19.1 Organiser Tax Responsibility
Himeet does not provide tax advice or act as a tax agent on behalf of any Organiser. As an Organiser, you are solely responsible for:
Assessing and reporting any income you receive through Events listed or promoted via the Platform.
Complying with all applicable tax laws, regulations, and filing obligations in your jurisdiction (e.g., personal income tax, self-employment tax, VAT).
Paying any required taxes or levies directly to the appropriate governmental authorities.
19.2 No Withholding or Reporting
Himeet:
Does not withhold taxes on your behalf.
Does not report your earnings to tax authorities.
Does not issue tax documents (e.g., invoices, receipts, tax forms) unless required by law.
You may be required to maintain your own records and documentation for income earned from Events, including tickets, sponsorships, and other fees.
19.3 Consultation Recommended
You are encouraged to consult a qualified tax advisor or local tax authority to ensure compliance with any relevant tax obligations related to your use of the Platform and income generated from Events.
